End User License Agreement (EULA)


Purpose of the EULA

This End User License Agreement ("Agreement") sets out the terms under which Vendorapp Limited ("Vendorapp", "we", or "us") grants users the right to access and use the Vendorapp web application and related services ("Vendorapp Platform"). By using Vendorapp, you agree to be bound by this Agreement.


What you're allowed to do

As a registered user, you are granted a non-exclusive, non-transferable, revocable license to use Vendorapp solely for internal business purposes. This includes:

  • Accessing the platform based on your assigned user role (e.g., vendor manager, analyst, admin).
  • Uploading, editing, and managing vendor data, contracts, and tasks in line with your access permissions.
  • Generating reports, managing workflows, and using other features as intended by the app.

What you're not allowed to do

You may not:

  • Share your login credentials or allow others to use your account.
  • Attempt to reverse engineer, decompile, or extract source code from Vendorapp.
  • Use Vendorapp to perform or promote illegal, unethical, or harmful activities.
  • Upload malicious code or interfere with the security or availability of the platform.
  • Resell, sublicense, or otherwise commercialize access to Vendorapp without our written consent.

Ownership and intellectual property

All intellectual property rights in and to the Vendorapp Platform, including its design, source code, workflows, and content (except for your own uploaded data), are owned by Vendorapp Limited. This Agreement does not transfer any ownership rights to you.

You retain full ownership of the data and documents you upload, subject to our Privacy Policy and Terms of Service.


Termination of access

Your access to Vendorapp may be suspended or terminated:

  • If you breach any terms of this Agreement.
  • If your organization's subscription expires or is terminated.
  • If required by law or to protect the security of the platform.

Upon termination, your license will end, and you must stop all access and use of Vendorapp.


Disclaimers and limitation of liability

Vendorapp is provided "as is" and "as available", without warranties of any kind, either express or implied. We do not guarantee that Vendorapp will be error-free or always available.

To the maximum extent permitted by law, Vendorapp Limited is not liable for any indirect, incidental, or consequential damages, including data loss or business interruption, resulting from your use of the platform.


Governing law

This Agreement is governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
